White Pearl bids for Aixia – the premium exceeds 30 percent

IT consultant Aixia has received a public takeover offer from White Pearl Technology Group, WPTG, worth a total of approximately SEK 168 million, according to a press release.

For each share in Aixia, 5.33 newly issued shares in White Pearl and SEK 10 in cash are offered. The offer represents a premium of approximately 31.5 percent compared to Aixia’s last closing price on Friday.

Shareholders representing approximately 56 percent of the shares and 70.5 percent of the votes in Aixia have irrevocably undertaken to accept the offer. The offer is not conditional on WPTG achieving an ownership of at least 90 percent of the shares and votes in the company.

The acceptance period for the offer is expected to run between July 13 and August 10.

“WPTG believes that a merger with Aixia is strategically very attractive. The transaction would provide immediate access to Aixia’s scalable AI and IT infrastructure platform with strong exposure to fast-growing segments such as AI computational capabilities and cloud solutions,” it said.

White Pearl is listed on Nasdaq First North while Aixia is listed on Spotlight Stock Market.
